Africa2Trust is not the seller, manufacturer, distributor, exporter, importer, or payment intermediary
for third-party products or services listed on the Platform.
1. Introduction
Welcome to Africa2Trust (“A2T”, “we”,
“our”, or “us”). Africa2Trust is a continental digital business platform
that supports business listings, company profiles, supplier discovery, buyer-seller connections,
subscriptions, business promotion, advertising, and related information services across Africa and beyond.
By accessing, browsing, registering on, advertising on, subscribing to, or otherwise using
www.africa2trust.com, you agree to be legally bound by these Terms and Conditions.
If you do not agree to these Terms, you must immediately stop using the website and all related services.
2. Definitions
In these Terms and Conditions:
- “Platform” means the Africa2Trust website, systems, directories, tools, pages, databases, subscriptions, and related digital services.
- “User” means any person or entity that accesses or uses the Platform.
- “Business User” means any company, supplier, buyer, institution, advertiser, consultant, investor, or organization using the Platform for business or professional purposes.
- “Content” means text, logos, images, listings, profiles, documents, messages, advertisements, data, graphics, links, reviews, and other materials appearing on or submitted to the Platform.
- “Subscription Services” means paid promotional, branding, visibility, listing, advertising, or account upgrade services offered by Africa2Trust from time to time.
- “Unverified Listing” means a company profile or listing that has not yet been validated, claimed, or confirmed by the company owner or an authorized representative as determined by Africa2Trust.
3. Eligibility and Acceptance
You may use the Platform only if you are legally capable of entering into a binding agreement and,
where applicable, are authorized to act on behalf of the company, institution, or organization you represent.
By using the Platform, you represent and warrant that:
- you are at least 18 years old;
- you have legal capacity to agree to these Terms;
- the information you provide is accurate, current, and complete; and
- your use of the Platform will comply with all applicable laws, regulations, and standards.
4. Nature of the Africa2Trust Platform
Africa2Trust operates as a business directory, business discovery engine, B2B networking platform,
and marketplace-enabling service. The Platform may include supplier listings, company profiles,
business advertisements, product or service pages, buyer inquiries, tenders, opportunities,
trade content, sponsored promotions, and premium visibility services.
Unless expressly stated otherwise:
- Africa2Trust does not own third-party products or services listed on the Platform.
- Africa2Trust does not guarantee that any listed supplier, buyer, or advertiser will complete a transaction.
- Africa2Trust does not guarantee product quality, delivery, certifications, legal compliance, or performance of third-party offerings.
- Negotiations, transactions, and commercial engagements occur directly between users and third parties at their own risk.
5. User Accounts and Account Security
Some services on the Platform require account creation. If you register for an account,
you are responsible for maintaining the confidentiality of your login credentials
and for all activities that occur under your account.
You agree that:
- you are responsible for all actions taken using your account;
- you will promptly notify Africa2Trust of any unauthorized use or security breach;
- you will not create misleading, deceptive, duplicate, or unauthorized accounts; and
- Africa2Trust may suspend, restrict, or terminate any account that presents fraud, abuse, legal, reputational, or security risk.
6. Business Listings, Supplier Profiles, and Submitted Information
Users submitting company profiles, business descriptions, supplier information, product or service details,
advertisements, contact information, certifications, logos, images, or other business content must ensure
that such content is lawful, accurate, current, and not misleading.
By submitting content to Africa2Trust, you represent and warrant that:
- you own the content or have the full right and authority to submit and use it;
- the content does not infringe any copyright, trademark, privacy, confidentiality, publicity, or other rights of third parties;
- the content is not false, deceptive, defamatory, obscene, unlawful, abusive, harmful, or discriminatory; and
- you have authority to represent the business or organization associated with the listing or profile.
Africa2Trust reserves the right, but not the obligation, to review, verify, edit, reject, suspend,
unpublish, delist, or remove any submitted content or listing at its sole discretion.
7. Company Listings, Ownership Claims, and Verification Status
Africa2Trust operates both as a company self-registration platform and as a business directory.
Company information appearing on the Platform may therefore originate from different sources, including:
- companies that register and manage their own profiles directly;
- individual users or third parties who submit company information to the Platform;
- business development, directory-building, research, or listing support activities carried out by or for Africa2Trust; and
- other lawful business information sources where permitted by applicable law.
7.1 Unverified Listings
Some companies appearing on the Platform may be marked or treated as unverified.
An unverified listing means that Africa2Trust has not yet confirmed ownership, control, or validation
of the listing by the actual company owner or an authorized representative.
Unverified listings may:
- contain incomplete, outdated, or inaccurate information;
- appear without the owner’s prior direct submission or express permission;
- be submitted by an individual, agent, marketer, referrer, researcher, or other third party;
- not display an official company logo; and
- be limited in profile completeness, presentation, or available account controls until validation occurs.
7.2 No Logo Display Until Validation
Africa2Trust may withhold display of a company logo, branded assets, or certain profile enhancement features
until the relevant company listing has been validated or confirmed by Africa2Trust in accordance with its internal verification procedures.
7.3 No Implied Endorsement or Accuracy Guarantee
The existence of a company listing on the Platform does not imply endorsement, affiliation, verification,
approval, legal compliance, ownership confirmation, or accuracy of that listing by Africa2Trust.
Africa2Trust does not guarantee the completeness, accuracy, authenticity, legality, or currentness of any listing,
especially where the listing remains unverified or was submitted by a third party.
7.4 Right of Company Owners to Claim, Update, or Remove Listings
If a company owner, an authorized representative, or a lawful rights holder identifies a company listing on the Platform and believes that:
- the company information is incorrect, incomplete, outdated, or misleading;
- the listing appears without the owner’s permission or prior knowledge;
- the listing should be transferred to the rightful owner for management and control; or
- the listing should be removed entirely,
that person may contact Africa2Trust and request that the listing be reviewed.
Subject to reasonable verification of identity, ownership, authority, or other relevant rights,
Africa2Trust may, at its discretion:
- correct or update the listing;
- transfer listing control to the verified company owner or representative;
- validate the listing and update its status;
- remove the listing in whole or in part; or
- request further supporting documentation before taking action.
7.5 Responsibility of Submitting Users
Any user or third party submitting company information to Africa2Trust represents and warrants that:
- they have lawful authority, permission, or another valid basis to submit the information;
- the information supplied is accurate and not intentionally misleading;
- they will not impersonate a company owner or claim rights they do not have; and
- their submission will not infringe the rights of any person or business.
Africa2Trust reserves the right to suspend, edit, reject, or remove listings that it believes were submitted improperly,
deceptively, without lawful basis, or in violation of these Terms.
7.6 Disclaimer of Liability for Company Listings
To the fullest extent permitted by law, Africa2Trust shall not be liable for any loss, damage, cost, reputational harm,
claim, complaint, or dispute arising from or relating to:
- the inclusion of a company listing on the Platform;
- the absence of a company logo or branding on an unverified listing;
- errors, omissions, inaccuracies, or outdated information in a listing;
- submission of company information by a third party; or
- temporary publication of a listing before a correction, claim, validation, or removal request is processed.
Notwithstanding the above, Africa2Trust may take reasonable corrective action when a valid request is received and sufficiently verified.
8. Subscription Packages, Fees, Payments, and Renewals
Africa2Trust may offer free and paid services, including premium listings, enhanced company profiles,
advertising placements, sponsored visibility, branding upgrades, and related subscription packages
intended to improve business visibility across the Platform.
8.1 Dynamic Pricing and Package Features
Subscription packages, package names, package benefits, feature sets, billing periods, and fees may change
from time to time. The package details and prices applicable to a user shall be those displayed on the Platform
at the time of purchase or renewal.
Current subscription information may appear on pages such as
Pay Subscription Online,
or such other pages as Africa2Trust may designate from time to time.
8.2 Payments
Payments may be processed through approved third-party payment gateways or processors.
Africa2Trust may rely on such third-party systems for payment processing, confirmation, and reconciliation,
and may not store full card or payment instrument details.
8.3 Non-Refundable Fees
Unless expressly stated otherwise in writing or required by applicable law, subscription fees,
advertising fees, upgrade fees, and related service charges are non-refundable once the purchased service
has been activated, published, scheduled, reserved, or otherwise made available.
8.4 No Guaranteed Commercial Outcome
Paid subscriptions and promotions improve visibility and branding opportunities only.
Africa2Trust does not guarantee inquiries, leads, buyer contacts, tenders, contracts, sales,
supplier responses, market traction, or any specific commercial outcome.
8.5 Activation, Renewal, Suspension, and Downgrade
Premium services may be activated after successful payment confirmation and any internal checks Africa2Trust
considers necessary. Africa2Trust may suspend, downgrade, decline, withhold, or terminate paid services
where payment fails, is reversed, is disputed, appears fraudulent, or where the related account breaches these Terms.
9. Acceptable Use
You agree not to use the Platform to:
- post or transmit false, fraudulent, deceptive, or misleading content;
- impersonate any person, business, institution, or organization;
- upload malware, harmful code, spyware, or disruptive scripts;
- harass, threaten, abuse, intimidate, or defame others;
- interfere with the operation, integrity, or security of the Platform;
- scrape, harvest, or extract data in an unauthorized or abusive manner;
- use the Platform for unlawful, unethical, anti-competitive, or prohibited purposes; or
- submit spam, irrelevant bulk communications, or unsolicited promotional content.
10. Intellectual Property Rights
All rights, title, and interest in the Platform, including its structure, code, design, layout, branding,
trade dress, databases, compilations, original text, graphics, and software, are owned by or licensed to Africa2Trust
and are protected by applicable intellectual property laws in Uganda, across Africa, and internationally.
Except as expressly permitted by law or by prior written consent from Africa2Trust, you may not reproduce,
republish, modify, distribute, reverse engineer, commercially exploit, or create derivative works from any part of the Platform.
11. License to Use Submitted Content
By uploading, submitting, posting, publishing, or sending content to Africa2Trust,
you grant Africa2Trust a non-exclusive, worldwide, royalty-free, transferable, sublicensable license
to host, store, reproduce, adapt, publish, display, distribute, promote, and use such content
in connection with operating, improving, marketing, and providing the Platform and related services.
This license continues for as long as reasonably necessary for operational, evidentiary,
archival, promotional, administrative, or legal purposes, subject to applicable law.
12. Third-Party Websites, Services, and Content
The Platform may contain links to third-party websites, payment gateways, institutions, business sites,
supplier pages, external resources, or independent service providers.
Africa2Trust does not control and is not responsible for the availability, legality, quality, accuracy,
security, privacy practices, performance, or terms of any third-party website, product, or service.
Your dealings with third parties are solely between you and the relevant third party.
13. Electronic Communications
By using the Platform or communicating with us electronically, you consent to receive communications from us electronically,
including by e-mail, notices on the Platform, account messages, receipts, invoices, support responses,
administrative updates, and other digital communications.
You agree that such electronic communications satisfy any legal requirement that communications be in writing.
14. Privacy and Data Protection
Your use of the Platform may also be subject to our Privacy Policy and related data notices published by Africa2Trust.
You acknowledge that business and personal information submitted through the Platform may be collected,
stored, processed, displayed, used, and retained for legitimate operational, commercial, support, legal,
compliance, and security purposes.
Users are responsible for ensuring that any personal or business data submitted to the Platform
has been lawfully collected and lawfully shared.
15. Disclaimers
The Platform and all related content, information, services, and functionality are provided on an
“as is” and “as available” basis.
To the fullest extent permitted by law, Africa2Trust disclaims all representations and warranties,
whether express, implied, statutory, or otherwise, including warranties of merchantability,
fitness for a particular purpose, title, non-infringement, availability, compatibility, security, and accuracy.
We do not warrant that:
- the Platform will always be uninterrupted, secure, timely, or error-free;
- defects will be corrected immediately or without limitation;
- the Platform or its infrastructure is free from harmful components; or
- content on the Platform is complete, accurate, current, or suitable for your specific purposes.
16. Limitation of Liability
To the fullest extent permitted by law, Africa2Trust, its directors, officers, staff, affiliates,
agents, contractors, partners, and licensors shall not be liable for any direct, indirect, incidental,
consequential, special, punitive, or exemplary losses or damages arising out of or in connection with
your use of, inability to use, or reliance upon the Platform.
This includes, without limitation:
- loss of profits, revenue, contracts, sales, opportunity, data, goodwill, or expected savings;
- service interruption, platform downtime, or technical malfunction;
- fraud, misconduct, default, or non-performance by third-party users or providers;
- errors or inaccuracies in third-party listings, supplier profiles, or business information; and
- any transaction, delay, dispute, defect, or loss involving third-party goods or services.
Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law.
17. Indemnity
You agree to indemnify, defend, and hold harmless Africa2Trust, its officers, directors, staff,
affiliates, agents, and service providers from and against any claims, demands, liabilities,
losses, damages, costs, and expenses, including reasonable legal fees, arising out of or related to:
- your use of the Platform;
- your breach of these Terms;
- your submitted content;
- your violation of applicable law or third-party rights; or
- any dispute between you and another user, supplier, advertiser, institution, or third party.
18. Suspension, Restriction, and Termination
Africa2Trust may, at its sole discretion and without prior notice where appropriate,
suspend, restrict, delist, downgrade, disable, or terminate any account, listing, content,
inquiry flow, subscription benefit, or Platform access where:
- these Terms are breached;
- payment is not completed, is reversed, or is disputed;
- fraud, abuse, legal risk, compliance risk, or security concerns arise;
- content is inaccurate, unlawful, harmful, or misleading; or
- continued access is undesirable for legal, operational, security, or reputational reasons.
19. Complaints and Disputes Between Users
Users who wish to raise concerns regarding a listing, supplier profile, business representation,
advertisement, or Africa2Trust-managed service may contact us through our official support channels.
Africa2Trust may review complaints in its discretion but is not obliged to mediate,
arbitrate, investigate fully, or resolve disputes between users or between users and third parties.
20. Search Engines and External Visibility
Africa2Trust may organize, structure, summarize, publish, display, optimize, or promote content
in ways intended to improve discoverability, user experience, internal search relevance,
and external indexing by search engines or other channels.
However, Africa2Trust does not guarantee search engine indexing, ranking, traffic volumes,
search placement, lead generation, or visibility performance for any listing, page, subscription, or profile.
21. Changes to the Platform and These Terms
Africa2Trust reserves the right to modify, replace, suspend, withdraw, or discontinue any part of the Platform,
its features, subscription offerings, service structure, or these Terms at any time.
Updated Terms become effective upon posting unless otherwise stated.
Your continued use of the Platform after such changes are published constitutes your acceptance of the revised Terms.
22. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of Uganda,
without prejudice to any mandatory legal protections that may apply under other applicable laws.
Subject to applicable law, the courts of competent jurisdiction in Uganda shall have jurisdiction
over disputes arising from or relating to these Terms, the Platform, or services provided by Africa2Trust.
23. Force Majeure
Africa2Trust shall not be liable for any delay, interruption, or failure in performance resulting from causes
beyond its reasonable control, including acts of God, war, terrorism, civil unrest, strikes, labor disputes,
internet or telecommunications failure, cyberattacks, government action, epidemic, pandemic, natural disaster,
or power interruption.
24. Severability and Waiver
If any provision of these Terms is held to be unlawful, invalid, or unenforceable,
that provision shall be deemed severed to the minimum extent necessary,
and the remaining provisions shall remain in full force and effect.
Any failure or delay by Africa2Trust to enforce any right or provision under these Terms
shall not constitute a waiver of that right or provision.
25. Entire Agreement
These Terms, together with any applicable policies, notices, service-specific rules,
subscription conditions, order confirmations, and payment confirmations issued or published by Africa2Trust,
constitute the entire agreement between you and Africa2Trust regarding your use of the Platform.
